Terms of service

1. Who these terms are between

These terms form an agreement between Audit Ready Solutions Limited ("us", "we"), a company registered in the United Kingdom, and the organisation using the AuditReady.care Platform ("you", "your organisation").

2. The service

We provide the AuditReady.care Platform (the "Service") — a sponsor-licence compliance and worker-management application hosted at audit-ready.care. Features are described on the marketing site and evolve over time; we may add, improve or occasionally retire features.

3. Your account

One or more named individuals in your organisation are the Account Owner(s). They may invite other users, assign roles, and control access. You are responsible for keeping account credentials confidential and for all activity that happens under your accounts.

4. Fees

Fees are set out in the order form or subscription plan you select. Unless agreed otherwise, invoices are issued monthly in advance and payable within 14 days. We may adjust list prices with 30 days’ notice; existing subscriptions run to renewal at the price agreed.

5. Your data

All data your organisation enters remains yours. Our handling of it is governed by our Privacy policy and our Data Processing Addendum. You can export your data at any time.

6. Acceptable use

You agree not to:

• Use the Service in a way that breaks the law, infringes another party’s rights, or breaches your sponsor licence obligations.
• Attempt to break, probe, reverse-engineer or bypass any security control.
• Share account credentials outside your organisation or with unauthorised individuals.
• Use the Service to process personal data of individuals for whom you do not have lawful basis to process.

7. Availability

We aim for very high availability but do not guarantee an uninterrupted service. We may schedule maintenance windows and will notify Account Owners where those affect availability. Where you have a bespoke SLA in your order form, that SLA applies in place of this section.

8. Support

Support is available via the in-app Support Centre. Response times depend on your plan and are set out in the order form. Emergency issues can be escalated to sales@audit-ready.org.

9. Confidentiality

Each party will keep the other’s confidential information confidential and use it only for the purposes of this agreement.

10. Warranties & disclaimers

We warrant that we will provide the Service with reasonable skill and care. Except as expressly set out here, the Service is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law. AuditReady.care is a compliance tool — the Home Office view of your sponsor licence is ultimately determined by UKVI, not by us.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited. Subject to that, our total liability to your organisation in any 12-month period is capped at the fees paid to us in that period. We are not liable for indirect or consequential losses, loss of profit, or loss of anticipated savings.

12. Termination

Either party may terminate on 30 days’ written notice at the end of a subscription term, or immediately for material breach that is not remedied within 30 days of written notice. On termination we will provide a final data export on request and delete your data in line with the retention periods set out in our Privacy policy.

13. Changes to these terms

We may update these terms occasionally. Material changes will be notified to Account Owners by email at least 30 days in advance.

14. Governing law

These terms are governed by the laws of England and Wales, or of Scotland where the customer is based in Scotland, and the relevant courts have exclusive jurisdiction.
